From the design phase to delivery

Building a custom or superyacht ties up substantial funds over several years. The standard forms offered by yards are one-sided, and the dispute regularly arises over the stage payments and over the variations.

Purchase and sale

Securing transactions in the secondary market

Buying a pre-owned yacht carries risk in two places: in the survey and in the proof of title. An incomplete title chain blocks registration later, and a survey carried out badly removes any basis for a reduction in price.

How are instalments on a new build secured?

The usual route is a refund guarantee, a bank guarantee from the yard that secures the instalments paid should the yard fail to complete. Alongside that, payments should be tied to verifiable stages of construction. Both belong in the build contract before the first instalment is paid.

What is an MYBA sale agreement?

A standard form of the MYBA, the international association of yacht brokers, widely used in the market for pre-owned yachts. It governs the process from offer through sea trial and survey to delivery. Because it is built on English law and carries many options, adapting it to the particular sale is worthwhile.

Why does the choice of flag matter so much?

The flag determines which law applies to the yacht, which register she is on, which technical and employment rules govern the crew and her operation, and whether commercial chartering is possible. Finance and the mortgage also depend on the register. The decision should be made before the purchase, not after it.

How is a yacht used as security for a loan?

Through a ship mortgage registered in the ship register of the flag state. Banks also regularly take an assignment of the claims under the insurances and under charter agreements. On a change of flag or a sale the mortgage has to be discharged or transferred before the new register can record it.

When is VAT payable on the purchase of a yacht?

That depends on the place of supply, on the flag and on the use. A yacht in free circulation in the EU is in principle VAT paid; where she is used by a person established outside the EU, temporary admission with relief for a limited period may apply. On commercial chartering input tax can be recovered, subject to evidence.

What should a refit contract cover?

The precise scope of work, a schedule with liquidated damages for delay, the liability of the yard and guarantees for newly installed components. Because a refit often only reveals what else is needed once work is under way, a clear procedure for additional orders and their pricing belongs in the contract.
